These Terms & Conditions apply to the services provided by Odynex Solutions Limited, a company registered in England & Wales (company number 17405749), registered office Office 20422, 182-184 High Street North, East Ham, London E6 2JA, United Kingdom (“we”, “us”), and to the use of this website.
1. Our services
We provide e-commerce, marketplace management, digital marketing, SEO and content services. The exact scope, deliverables, fees and timelines for each client are set out in a written proposal, quote or agreement (“Proposal”). If a Proposal conflicts with these Terms, the Proposal applies.
2. Quotes and payment
- Fees are as stated in your Proposal. Unless agreed otherwise, monthly fees are payable in advance.
- Advertising spend (for example on Meta, Google, Amazon, eBay or TikTok) is paid by you directly to the platform and is not included in our fees.
- We may pause work if an invoice is overdue.
3. Your responsibilities
- Give us accurate information and the account access we need, on time.
- Make sure the products you sell and the content you give us are legal and do not infringe anyone else’s rights.
- Follow the rules of the marketplaces and advertising platforms you use. You remain the owner and holder of your accounts.
4. Results
We work hard to improve your sales, rankings and advertising results, but results depend on many factors outside our control, including platform algorithms, policies, competition and market demand. We therefore do not guarantee specific results, rankings, sales or account outcomes.
5. Third-party platforms
We are not responsible for decisions made by third-party platforms, such as account suspensions, listing removals, policy changes or algorithm updates, although we will help you respond to them where this is within the scope of our services.
6. Intellectual property
Once our fees are paid in full, you own the content we create specifically for you (such as listings, copy and creatives). We keep ownership of our own tools, templates, methods and know-how.
7. Confidentiality
Both sides will keep the other’s confidential information private and use it only for the purpose of the work, unless the law requires disclosure.
8. Ending the service
Either side can end an ongoing service with the notice period stated in the Proposal, or 30 days’ written notice if none is stated. Fees for work already done remain payable.
9. Liability
Nothing in these Terms limits liability that cannot be limited by law. Otherwise, we are not liable for indirect or consequential losses, or for loss of profit, revenue or data, and our total liability under any Proposal is limited to the fees you paid us in the 3 months before the claim.
10. Free tools
Free tools on this website, such as the eBay Financial Report Generator, are provided “as is” for information only. Please check the results before relying on them for accounting or tax purposes.
11. Law and jurisdiction
These Terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
